Unfortunately, the only way to overcome this is by doing a factory reset.
This can be done by connecting your iPod Touch to your computer and opening iTunes.
Find your iPod on the left hand side under "Devices".
This will open a page you should be familiar with if you have ever synced your device using iTunes.
Click the "Restore" button and follow the instructions given by iTunes.
Note: This will erase all content on your iPod Touch and require you to resync all music, video etc back onto your device. However, it is the only way to overcome a forgotten passcode.
Assuming you are talking about an iPod, there are two things you can do.
First try this: Connect your iPod to the first computer it was synced with or the computer set as the primary one in iTunes. Open the iTunes application, then disconnect your iPod from the computer, and it should no longer be locked.

Well when I had forgotten my ipod's passcode I was really upset. But i found a website that showed some very good solutions to helping me find it out again.

or you can do this:
Plug in your iPod
Go to "My Computer"
Open your iPod's drive (gokl's ipod for me)
Make sure you can see all hidden folders (If you aren't sure go to Tools, Folder Options, View Tab, and check Show)
Open the folder "iPod_Control"
Open the folder called "Device"
Rename the file "_locked" to "_unlocked"

You Need To:
1 Plug your iPod into iTunes
2. Press restore (hold down the power off button and the home button).
reset the ipod when you open into itunes then sync ipod again
Place it in the freezer for a day. The ub-zero temperature cause the I-Pod to reset. of course, this means you will lose your apps, but you can redownload them from the PC afterwards.
Possibly you could try to type numbers that you might have used before the one you forgot. Or you can restore the I-pod Touch 4g. hope this helps

If you do not know the password, you must reset the password. If you cant reset the password you cant download an app.

If it's a password lock out there is nothing you can do. The installation disk will allow you to reset the password.
If you call apple or go to one of there stores they might be able to help you unlock it.
You have to Restore the iPod through iTunes if you don't have the combo to unlock it.
If usrname and xword are for icloud, you're fine. You don't need icloud on a computer. If you've forgotten the password to your computer... take it to the apple store.
