Sounds like the battery is discharged.
Have you tried holding the lock button for about 5-10 seconds?
Hold the Home button and Sleep/Wake (power) button simultaneously for six seconds. This should solve all problems. If it turns off, turn it back on and then it should be fine. If this doesn't solve the problem, set up an appointment with an Apple genius at a local Apple Store near you.

It depends on what model you have. The more recent models for the Nano, Touch, and Classic is to lock the iPod and then unlock using that lock tab. Then press and hold the Menu and center button silmutaneously for about 6 seconds or until the Apple logo appears. Once it appears, release the buttons. It will take a few seconds for the Apple logo to disappear and for the iPod menu to come back up.

You press the HOME BUTTON + SHUT DOWN BUTTON at the same time and hold until your iPod turns off and an apple symbol pops out. (it may take few seconds) Then you will have to connect your iPod to your computer (with itunes on it). Download the new software and follow the instructions.
