Corporate law has elements of both substantive and remedial law (found in statutes, regulations, charters, bylaws or preceding cases).
Substantive laws define the organization and rights and obligations of shareholders and others with respect to the entity. The procedural (remedial) laws define how these rights are to be exercised or protected. For example, the substantive law permits issuance of shares, and remedial law requires notice to and proceedings by shareholders prior to adoption of material changes.
