Wellington Advertising agreed to pay Northeast General if Northeast found a good merger partner.

Northeast General sent a few company heads and finally Wellington found a company to use as a merger partner.

The two merged. The merger failed. In fact the people at Wellington Advertising lost their shirts.

Then the CEO of Wellington sued Northeast. The jury sided with Northeast. It claimed that Northwest was entitled to its fee because it had fulfilled its part of the contract. Wellington claimed it did not have to pay because it had found a crook not an acceptable partner.

The Supreme Court (the court directly just above the trial court in New York) reversed the decision. It claimed Northeast had a greater responsibility.

The Court of Appeals (The highest court in the state of New York) reversed that court. It claimed that Northeast filled the terms of the contract. Since Northeast is not a Broker, it can not be held to the same standards as a broker.
