Well that depends on which one you are looking for- there are many different spirit beasts!
There is Loque'Nahak the spirit leopard, who spawns in various places around Sholazar Basin in Northrend.
Arcturis the ghost bear, who spawns on the hill by the river under the Amberpine Lodge in Grizzly Hills in Northrend.
Gondria the pink ghost cat, who spawns in various places around Zul'Drak in Northrend.
Skoll the spirit worg, who spawns in various places around Storm Peaks in Northrend.
Ghostcrawler the ghost crab, who spawns just to the Southeast of L'Ghorek in Abyssal Depths in Vashj'ir. He is often up, but harder to find because he vanishes every 30 seconds and moves to a new location on the reef-area there, and is unable to be tracked with Hunter's Mark or Track Stealthed. Flare does not work either.
Karoma the ghost wolf, who spawns in various places around Twilight Highlands.
Ban'thalos the ghost owl, who spawns at Sanctuary of Malorne. You must have finished the Mount Hyjal questline first. Ban'thalos requires a special taming technique.

Currently spirit returns health and mana to the player. The more spirit, the more health/mana returned out of combat. In cataclsym, they are redoing the way mana is returned and spirit will be the primary mana stat.
In the wetlands there is a cave and inside the cave there are spawn points of a nest that you can right click and you will get the hatchling. I believe it spawns every 4-6 hours
